Terms and Conditions

Welcome to CEYRES. These Terms and Conditions ("Terms") govern your use of the CEYRES platform, website (ceyres.com), mobile applications, and all related services (collectively, the "Services") provided by IPERLY (PVT) LTD ("CEYRES", "we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or using any part of the CEYRES platform, you acknowledge that you have read, understood, and agree to these Terms. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Services
CEYRES is a B2B SaaS platform providing integrated business management tools for Sri Lankan businesses, including:
- Point of Sale (POS) system for restaurants and retail
- Online food ordering and delivery management
- Service booking and appointment scheduling
- QR code digital menu system
- WhatsApp AI-powered customer assistant
- Centralized business analytics and reporting
- Customer loyalty and rewards program
- Multi-branch management
3. Account Registration
a. You must be at least 18 years old and legally capable of entering into a binding agreement to use our Services.
b. You must provide accurate, complete, and current information during registration.
c. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
d. You must notify us immediately of any unauthorized use of your account.
4. Subscription Plans and Pricing
a. CEYRES offers various subscription plans with different features and pricing tiers. Current plans and pricing are displayed on our pricing page.
b. Prices are quoted in Sri Lankan Rupees (LKR) and are subject to change with 30 days advance notice.
c. Subscriptions are billed on a monthly basis unless otherwise specified.
d. We offer a free trial period for new subscribers. Trial terms may vary by plan.
5. Payments
a. Subscription payments are processed securely through our payment partners (PayHere, WebXPay).
b. You authorize us to charge the applicable subscription fee to your chosen payment method on a recurring basis.
c. Failed payments may result in service suspension after a grace period with notification.
d. All fees are exclusive of applicable taxes unless stated otherwise.
6. Data Ownership
a. You retain full ownership of all business data you enter into the CEYRES platform, including products, orders, customer records, and transaction data.
b. We do not claim ownership of your business data and will not use it for purposes beyond providing the Services.
c. You may export your data at any time through the platform's export features.
d. We maintain backups of your data as part of our service, but recommend you keep your own backups.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of Sri Lankan law.
- Attempt to gain unauthorized access to other accounts or our systems.
- Interfere with or disrupt the Services or servers.
- Upload malicious code, viruses, or harmful content.
- Resell, sublicense, or redistribute the Services without written permission.
- Use the platform to send spam or unsolicited communications.
8. Service Availability
a. We strive to maintain 99.9% uptime for our Services. Service status is available at status.ceyres.com.
b. We may perform scheduled maintenance with advance notice via email or in-app notification.
c. We are not liable for temporary service interruptions due to maintenance, updates, or circumstances beyond our control.
9. Intellectual Property
a. The CEYRES platform, including its software, design, logos, and documentation, is the intellectual property of IPERLY (PVT) LTD.
b. Your subscription grants you a non-exclusive, non-transferable license to use the Services for your business operations.
c. You may not copy, modify, reverse-engineer, or create derivative works based on our platform.
10. Limitation of Liability
a. To the maximum extent permitted by law, CEYRES shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
b. Our total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim.
c. We are not responsible for losses resulting from third-party service failures (payment gateways, SMS providers, cloud infrastructure).
11. Termination
a. You may cancel your subscription at any time through your account settings or by contacting support.
b. We may suspend or terminate your account for violation of these Terms with notice.
c. Upon termination, you may export your data within 30 days. After this period, data may be permanently deleted.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
